Skip to main content Last Updated: August 25, 2025These Terms and Conditions (“Agreement”) govern use of the Discount Kit Shopify application (“App”), provided by Optizio Ltd. By installing or using the App, you agree to be bound by this Agreement. Non-acceptance means you should not install or use the App.
1. Description of Service The App provides discounting functionality for Shopify stores, allowing users to create, manage, and apply discounts to products and orders.
2. Eligibility Users must be at least 18 years old and possess authority to enter into this Agreement on behalf of their business or entity.
3. Shopify Account Active Shopify account ownership and compliance with Shopify’s terms are required. The provider assumes no responsibility for Shopify relationships or third-party services.
4. License A limited, non-exclusive, non-transferable, revocable license is granted for internal business purposes connected to your Shopify store.
5. User Responsibilities Users agree to:
Comply with applicable laws and Shopify policies
Refrain from misuse, reverse engineering, or unauthorized access attempts
Maintain accurate and current information
6. Fees and Payment Fees follow the Shopify App Store listing specifications. Shopify’s billing system handles all payments.
7. Discount Functionality Users bear sole responsibility for discount configuration and legal compliance. The provider disclaims liability for discount application errors or pricing issues.
8. Data and Privacy Data collection and usage follow the Privacy Policy on the Shopify App Store listing. Installation constitutes consent to such practices.
9. Intellectual Property Optizio Ltd retains all intellectual property rights. Users cannot copy, modify, or distribute App content without written consent.
10. Termination 10.1 Mutual Termination Either party may terminate through:
(a) written notice if the other materially breaches and fails to remedy within 30 days; or
(b) immediate notice upon insolvency, creditor assignment, or bankruptcy filing
10.2 Client Termination Users may terminate anytime by uninstalling the App.
10.3 Optizio Termination The provider may terminate:
(a) with 30 days’ notice for convenience
(b) immediately for security-risk breaches under Section 5
(c) immediately for non-payment beyond 15 days’ notice
10.4 Termination Effects
License ceases immediately
Users remain liable for pre-termination fees
Data deletion or return occurs within 90 days per Privacy Policy (except legally required retention)
Sections 9, 12, 13, 13A, and 15 survive termination
11. Disclaimer of Warranties The App is provided “as is” and “as available” without warranties of any kind, express or implied. Error-free or uninterrupted operation is not guaranteed.
12. Limitation of Liability 12.1 Indirect, incidental, special, consequential, or punitive damages are excluded, including profit or revenue loss.
12.2 Aggregate liability caps apply:
Provider liability limited to 200% of fees paid in preceding 12 months (excluding confidentiality breaches)
User liability capped at 100% of fees paid in preceding 12 months
13. Client Indemnification Users indemnify and defend Optizio Ltd against claims, damages, or expenses arising from App use or Agreement violations.
13A. Optizio Indemnification 13A.1 The provider defends against third-party claims involving:
Material data protection breaches under the Agreement, Privacy Policy, or data protection laws
Claims that authorized App use infringes patents, copyrights, or trademarks
13A.2 Conditions include: prompt written notice, provider control of defense/settlement, and client cooperation.
13A.3 Exclusions apply for App modifications, software combinations, or out-of-scope use.
14. Changes to Terms 14.1 Terms may be updated periodically.
14.2 Material changes require email notification to the primary Shopify account email.
14.3 Material changes receive 30 days’ advance notice; minor clarifications may be immediate.
14.4 Continued use constitutes acceptance. Disagreement allows termination via uninstallation.
15. Governing Law The Agreement follows United Kingdom law without regard to conflict of law principles.
